1. Definições

a. “Apresentar ao Público” significa, para os propósitos desta Licença, tanto (i) comunicar ao público o Trabalho ou Trabalho Derivado, o que for apropriado, por meio de qualquer acto que torne o seu gozo acessível ao público independentemente da posse de uma cópia do mesmo, nomeadamente através da representação, recitação, declamação, execução, exibição, exposição, transmissão ou retransmissão por fio ou sem fio, do Trabalho ou Trabalho Derivado, como (ii) colocar o Trabalho ou Trabalho Derivado, o que for apropriado, à disposição do público, por fio ou sem fio, por forma a torná-lo acessível a qualquer pessoa a partir do local e no momento por ela escolhido.


1. Definitions

a. “Present to the public” means, for the purposes of this License, both (i) to communicate to the public the Work or Derivative Work, as appropriate, by means of any act by which its enjoyment is made accessible to the public independently from the possession of a copy of the same, namely through performance, recitation, declamation, execution, display, exhibition, broadcast or rebroadcast by wire or wireless means, the Work or Derivative Work, and (ii) to make the Work or Derivative Work, as appropriate, available to the public, by wire or wireless means, so that anyone can access it from a place and time individually chosen by such person.

1. Replacing the term “Publicly Perform” by the term “Apresentar ao Público” (“Present to the Public”) and clarifying the definition of the later

Considering that:

(i) The term “Publicly Perform” is used in the Unported version to include both the right of communication to the public and the right of making available to the public;

(ii) The term “Execução Pública” (“Publicly Perform”) is contained in several provisions of the CDADC (cf. e.g. art. 68.º(2)(b) CDADC) and is one of the different rights of exploitation to the public. Therefore, to use it in the Portuguese version with the same broad meaning of the Unported version could confuse the Portuguese users;

(iii) The CDADC uses the term “Comunicação Pública” (“Public Communication”), but does not give us a definition of it that could be used as a general criterion applicable to the different forms of a general exclusive right to communicate [cf. Cláudia Trabuco, O Direito de Reprodução de Obras Literárias e Artísticas no Ambiente Digital 559, footnote 23 (Coimbra Editora 2006)]; instead, the CDADC creates several rights of exploitation to the public, such as the rights of performance, recitation, exhibition and broadcasting (cf. art. 68.º CDADC);

(iv) The right to communicate to the public has been defined as the act by which the enjoyment of the work or performance is made accessible to the public independently from the possession of a copy of the same [cf. José de Oliveira Ascensão, Direito Civil: Direito de Autor e Direitos Conexos 277 (Coimbra Editora 1992)];

(v) Some authors consider that the right of making available to the public (“colocar à disposição do público) by wire or wireless means, so that anyone can access the work or performance from a place and time individually chosen by such person (cf. art. 68.º(2)(j) CDADC), is a new right, independent from the right to communicate to the public [cf. Trabuco, op. cit. 563];

(vi) The term “Apresentar ao público” (“Present to the public”) is not contained in any provision of the CDADC, therefore could be easily used to include both the right of communication to the public and the right to make available to the public, The following substantive legal change has been made:

A. Definitions: the term “Publicly Perform” is replaced by the term “Apresentar ao público” (“Present to the public”).


b. “Compilação” significa, para os propósitos desta Licença, um trabalho em que se incorporam trabalhos preexistentes, o qual, pela escolha ou disposição das matérias, constitua uma criação intelectual, no qual o Trabalho é totalmente incluído, sem modificações, juntamente com uma ou mais contribuições, cada qual constituindo um trabalho em si próprio, separado e independente. O trabalho que constituir uma Compilação não será considerado um Trabalho Derivado (como abaixo definido) para os propósitos desta Licença. b. “Compilation” means, for the purposes of this License, a work in which pre-existent works are incorporated, which, by reason of the selection and arrangement of its content, constitute an intellectual creation, in which the Work is included in its entirety in unmodified form, along with one or more contributions, each constituting separate and independent works in themselves. A work that constitutes a Compilation will not be considered a Derivative Work

(as defined bellow) for the purposes of this License.

2. Replacing the term “Collection” by the term “Compilação” (“Compilation”) and clarifying the definition of the later

Considering that: (i) The Unported version uses the term “Collection” in a way that is compatible with art. 2.º(5) Berne Convention;

(ii) The term "Compilação" (“Compilation”) is used in art. 3.º(1)(b) CDADC, precisely when referring to those works mentioned in art. 2.º(5) Berne Convention;

(iii) Under the CDADC, a compilation of protected or unprotected works, such as encyclopaedias and anthologies, which by reason of the selection and arrangement of its contents constitutes an intellectual creation, is a work compared to an original work (cf. art. 3.º(1)(b) CDDAC);

(iv) The previous Portuguese version (version 2.5) uses the term “Obra Colectiva” (literally “Collective Work”), and not the term “Colecção” (“Collection”) nor the term “Compilação” (“Compilation”);

(v) “Obra Colectiva” (literally “Collective Work”) is defined in the CDADC as a work created by a plurality of people, organized and directed by a natural or legal person and disclosed under the name of such person. This means that the term “Obra Colectiva” does not refer to a collection of works, but to a single work. Sometimes the personal contributions of the several people involved can be identified; in such cases, the individual rights can be separately exploited, provided that such exploitation does not affect the exploitation of the "Obra Colectiva". But, again, that does not mean that the definition of "Obra Collectiva" is a collection of several works. [Note: a single work created by a plurality of people can also be classified as a “Obra feita em colaboração” (literally “Work of Collaboration”) if it is disclosed under the name of the individual contributors] (cf. art. 16.º CDADC);

(vi) One can find in other jurisdictions terms that are used with the same purpose as “Obra Colectiva”, ie, to solve a question of joint autorship, e.g.: a) in the Brasilien Author's Rights Law, the term "obra em co-autoria" [and not "obra colectiva", which also exists in the Brasilien Law and is sure used with the meaning of a collection] (art. 5.º(VIII)(a)); b) in the French Intellectual Property Code, the term "l’oeuvre collective" (Article L. 113-2); c) in the UK Copyright, Designs and Patents Act, "Works of joint authorship" (Section 10); d) in the German Copyright Act, "Miturheber" (Article 8)...;

(vii) While the term "Obra Colectiva" cannot match the Unported definition, the term “Compilação” (“Compilation”), for the reasons above stated, could be used to define a work in which the Work is included with one or more Works,

The following substantive legal change has been made: A. Definitions: the term “Collection” is replaced by the term “Compilação” (“Compilation”).


c. “Distribuir” significa oferecer ao público o original e/ou cópias de uma fixação do Trabalho ou Trabalho Derivado, o que for apropriado, directa ou indirectamente, por meio de venda, de aluguer, de comodato ou qualquer outra forma de distribuição. c. “Distribute” means to offer the original and/or copies of a fixed Work or Derivative Work, as appropriate, to the public, directly or indirectly, through sale, rental, loan or any other form of distribution. For the purposes of this License, the right to Reproduce includes the right to fix, that is, to embody sounds or images of the Work or Derivative Work, as appropriate, separately or cumulatively, in a stable and durable material medium, which permits its perception, reproduction or communication in any form, in a non-ephemeral period. 6. Clarifying the definition of “Reproduction”

Considering that: (i) The first difference between Copyright systems and Authors' rights systems is related with the genesis of copyright. In the copyright systems, one will not have copyright protection unless the work is fixed, while in the Author's rights systems no fixation is needed, since the work is protected from the moment of the exteriorization of the creation. This means that the right to fix is an independent economic right, different from the right to reproduce;

(ii) The CDADC does not include the term “Fixation” (cf. art. 141.º(1) CDADC) in the definition of “Reproduction” (cf. art. 176.º(7) CDADC);

(iii) The CDADC defines the term “Fixation” as the embodiment of sounds or images, separately or cumulatively, in a stable and durable material medium, which permits its perception, reproduction or communication by any form, in a non-ephemeral period;

(iv) The CDADC defines the term “Reproduction” as obtaining one or more copies of a fixed work or performance, direct or indirectly, temporary or permanently, by any means and in any form, from the whole or a part of such fixation [Note: the definition of “Reproduction” in the CDADC is supposed to be in accordance with art. 3(e) Rome Convention. It is true that in Rome “Reproduction” is defined as "the making of a copy or copies of a fixation", nevertheless, the Portuguese legislators did not translate "making" by its literal corresponding "fazer" but by "obtenção" (which literally means "obtention")]; (v) The protection granted by the right of reproduction goes, thus, beyond the first embodiment of the work or performance in a material support; it is applicable to all the copies produced after the first embodiment [cf. Trabuco, op. cit. 708];

(vi) Therefore, to be in line with the Portuguese legal concepts, one should reserve the term “Reproduction” to the making of copies after the first embodiment and the term “Fixation” to the first embodiment of a work or performance in a tangible medium;

(vii) However, in order to preserve a certain uniformity between the ported versions, I consider that one can maintain the right of fixation included in the definition of reproduction, as in the Unported version, without misleading the users, by making a sub-definition of fixation and making it clear that the inclusion is solely for the purposes of this licence,

The following substantive legal changes have been made: A. Definitions: the term “Reproduction” is maintained, and the term “Fixation” is further defined.


g. “Titular Originário” significa, para os propósitos desta Licença, tanto (i) o titular originário de Direito de Autor [(a) o Autor, sendo este a pessoa ou pessoas singulares que tenha(m) criado a obra literária ou artística; (b) a pessoa singular ou colectiva para quem a obra literária ou artística feita por encomenda ou por conta de outrem for realizada, nos casos previstos pela Legislação Aplicável; ou (c) a pessoa singular ou colectiva que tiver organizado e dirigido a criação da obra colectiva e em nome de quem tiver a mesma sido divulgada e publicada] como (ii) o titular originário de Direitos Conexos ((a) no caso de uma performance, o Artista, sendo este o actor, cantor, músico, bailarino e/ou outra pessoa que represente, cante, recite, declame, interprete ou execute de qualquer maneira a obra literária ou artística; (b) no caso de um fonograma, de um videograma ou de um filme, o Produtor do fonograma, videograma ou filme, sendo este a pessoa singular ou colectiva que primeiramente fixar os sons provenientes de uma performance ou quaisquer outros sons, ou imagens de qualquer proveniência, acompanhadas ou não de sons; ou (c) no caso de uma emissão de radiodifusão, o Organismo de Radiodifusão, sendo este a entidade que efectua emissões de radiodifusão sonora ou visual). g. “Original Rightholder” means, for the purposes of this License, both (i) the Original Author’s Rightholder [(a) the Author, being this the natural person or persons who have created the literary or artistic work; (b) the natural person or legal entity for whom the literary or artistic work made to order or to another person has been made; or (c) the natural person or legal entity who has organized and directed the creation of the collective work and under whose name it has been disclosed and published] and (ii) the Original Neighbouring Rightsholder [(a) in the case of a performance, the Artist, being this the actor, singer, musician, dancer or any other person who act, sing, recite, declaim, interpret or otherwise perform the Work; (b) in the case of a phonogram, an audiovisual recording or a film, the producer of the phonogram, audiovisual recording or film, being this the natural person or legal entity under who first fixes the sounds of performance or other sounds, or any images,

with or without sound; or (c) in the case of a broadcast, the organization of broadcast, being this the entity who transmits sound or visual broadcasting].

3. Replacing the term “Original Author” by the term “Titular Originário” (“Original Rightholder”) and clarifying the definition of the later, and including an express moral rights acknowledgment

Considering that:

(i) The Portuguese system is an author’s rights systems; it makes a distinction between those who create a literary or artistic work and those who do artistic or investment achievements in relation to works;

(ii) The Portuguese definition of “Autor” (“Author”) is limited to the natural person who has created the work (cf. art. 27.º(1) CDADC); nevertheless, references to “Author” in the CDADC include, where applicable, the heirs and descendents of the Author (cf. art. 27.º(3) CDADC) as well as the original owner of economic rights other than the Author (cf. art. 11º CDADC); (iii) The moral rights initially vest in the Author and cannot be signed nor waived – the intellectual creator is the only one that has e.g. the moral right of integrity (cf. art. 56.º CDADC); nevertheless, the Author’s heirs and descendants can also exercise those moral rights (cf. 27.º(3) and art. 57.º(1) CDADC);

(iv) The economic rights belong originally to the Author (cf. art. 11.º CDADC), with some exceptions: a) “Obra Colectiva” (literally “Collective Work”) – the economic rights shall vest in the natural or legal person who organized and directed the creation and under whose name the work has been disclosed (cf. art. 16.º(1)(b) and art. 19.º CDADC); b) “Obra feita por encomenda ou por conta de outrem” (literally “Work made to order or to another person”) – the economic rights might vest, in certain circumstances, in the natural or legal person for whom the work has been made (cf. art. 14.º CDADC);

(v) Performers, Producers (of phonograms, audiovisual recordings or films) and Broadcast Organizations hold neighbouring rights in relation to their works; such rights are of an economic nature, except for the “Artista intérprete ou executante” (“Performer”) who also retains certain moral rights, such as the moral right of integrity (cf. art. 182.º CDADC);

(vi) One can, thus, conclude that if we decided to use the term “Autor Original” (“Original Author”) in the ported version, the Portuguese users could misunderstand it;

(vii) The term “Titular Originário” (“Original Rightholder”) is not contained in any provision of the Portuguese law, therefore could be used to include both the “Autor” (“Author”) and others author's original rightholders, as well as the “Artista intérprete ou executante” (“Performer”) and other neighbouring rightsholders,

The following substantive legal changes have been made:

A. Definitions: the term “Original Author” is replaced by the term “Titular Originário” (“Original Rightsholder”).

B. Restrictions: in clause 4(g), the moral rights provided both to the “Autor” (“Author”) and to the “Artista intérprete ou executante” (“Performer”) under the Applicable Law, including but not limited to the right of integrity, are retained.

C. Termination: in clause 7, a number 3 is added, in order to reflect the moral right of withdrawal provided to the “Autor” (“Author”) under the Applicable Law.



h. “Trabalho” significa, para os propósitos desta Licença, tanto (i) a obra literária ou artística em relação à qual são concedidos direitos de exploração nos termos desta Licença, incluindo, sem limitação, qualquer criação intelectual do domínio literário, científico e artístico, qualquer que seja o género, a forma da sua expressão, o mérito, o modo de comunicação e o objectivo (tal como um livro, um folheto, uma revista, um jornal ou outro escrito; uma conferência, uma lição, uma alocução ou um sermão; uma obra dramática, dramático-musical ou a sua encenação; uma obra coreográfica ou uma pantomina, cuja expressão se fixe por escrito ou por qualquer outra forma; uma composição musical, com ou sem palavras; uma obra cinematográfica, televisiva, fonográfica, videográfica ou radiofónica; uma obra de desenho, tapeçaria, pintura, escultura, cerâmica, azulejo, gravura, litografia ou arquitectura; uma obra fotográfica ou produzida por quaisquer processos análogos aos da fotografia; uma obra de arte aplicada, desenho ou modelo industrial, ou uma obra de design, desde que, em qualquer dos casos, constitua uma criação artística e independentemente da protecção relativa à propriedade industrial; uma ilustração ou carta geográfica; um projecto, esboço ou obra plástica respeitantes à arquitectura, ao urbanismo, à geografia ou às outras ciências; um lema ou divisa, ainda que de carácter publicitário, se se revestir de originalidade; uma paródia ou outra composição literária ou musical, ainda que

inspirada num tema ou motivo de outra obra; uma base de dados que, pela selecção ou disposição do respectivo conteúdo, constitua uma criação intelectual e, consequentemente, seja protegida em sede de direito de autor pela Legislação Aplicável; e um programa de computador, bem como o material de concepção preliminar do mesmo, na medida em que lhes seja atribuída protecção análoga à conferida às obras literárias, nos termos da Legislação Aplicável), como (ii) a performance de um Artista, um fonograma, um videograma, um filme ou uma emissão de radiodifusão, em relação aos quais sejam concedidos direitos de exploração nos termos desta Licença.

h. “Work” means, for the purposes of this License, both (i) the literary and/or artistic work in relation to which are conceded exploitation rights under the terms of this License including without limitation any production in the literary, scientific and artistic domain, whatever may be the genre, the form of its expression, the merit, the mode of communication and the objective (such as a book, a pamphlet, a magazine, a newspaper or other writing; a conference, a lecture, an allocution or a sermon; a dramatic or dramatic-musical work or its staging; a choreographic work or pantomime, provided that the expression of which is fixed in writing or otherwise; a musical composition with or without words; a cinematographic work, a work of television, a phonographic work, a video work or a work of radio; a work of drawing, tapestry, painting, sculpture, engraving, ceramic, tile, lithography or architecture; a photographic work or produced by a process analogous to photography; a work of applied art, an industrial design or model, or a work of design, provided that, in any of these cases, the work constitutes an artistic creation, and independent of the protection granted to those works by industrial property rights; an illustration or geographical map; a project, sketch or plastic work relative to architecture, urban planning, geography or other science; a motto or device, even if it is of an advertising nature, provided that it has originality; a parody or other literary or musical composition, even if it is inspired in the theme or motif of another work; and a database which, by reason of the selection and arrangement of their contents, constitute an intellectual creation and, therefore, is protected by author’s right under the Applicable Law; a computer program, as well as its preparatory design material, to the extent they are granted protection analogous to the one granted to literary works under the Applicable Law), and (ii) a performance by an Artist, a phonogram, an audiovisual recording, a film or a broadcast, in relation to which are conceded exploitation rights under this License. 4. Replacing the term “Obra” (“Work”) by the term “Trabalho” (“Work”) and clarifying the definition of the later

Considering that: (i) The CDADC limits the use of the term “Obra” (“Work”) to the literary and/or artistic works protected by author’s rights (cf. art. 1.º and 2.º CDADC);

(ii) The CDADC uses the term “Prestação” (“Performance”) when referring to works protected by neighbouring rights;

(iii) One can, thus, conclude that to maintain the term “Obra” (“Work”) in the Portuguese version could confuse the Portuguese users as to the types of works covered by the license;

(iv) The term “Trabalho” (“Work”) is not contained in any provision of the Portuguese law therefore could be used with a broad meaning to include both a “Obra” (“Work”) and a “Prestação” (“Performance”);

(v) The Law Decree 122/2000 of July 4, which implemented in the Portuguese legal order the Council Directive 96/9/CE of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, extends the author’s right protection to databases;

(vi) The Law Decree 252/94 of October 20, which implemented in the Portuguese legal order the Council Directive 91/250/EEC of 14 May 1991 on the legal protection of computer programs, protects computer programs, by author’s right, as literary works;

The following substantive legal changes have been made:

A. Definitions: the term “Work” is maintained but translated as “Trabalho” and not as “Obra”, in order to include both (i) the literary and/or artistic works (“Obras”) (including databases and computer programs, provided that they are protected under the Applicable Law and (ii) and the works produced by the holders of neighbouring rights (“Prestações”).

B. License Grant: at the end of section 3 is added an unconditional waiver of the sui generis database rights, in accordance with the CC guidelines.

C. Restrictions: section 4(e) makes the clarification of such waiver, in accordance with the CC guidelines.


i. “Trabalho Derivado” significa um trabalho baseado no Trabalho ou no Trabalho e noutros trabalhos preexistentes, protegidos ou não, tal como uma tradução, adaptação, arranjo, instrumentação, dramatização, adaptação cinematográfica, sincronização de uma obra musical, performance ou fonograma em relação cronometrada com uma imagem em movimento (“synching”), ou quaisquer outras transformações do Trabalho, abrangendo qualquer forma reconhecível como derivada da original, com excepção do trabalho que constitua uma Compilação, o qual não será considerado um Trabalho Derivado para os propósitos desta Licença. i. “Derivative Work” means a work based on the Work or on the Work and other pre-existing works, protected or not, such as a translation, adaptation, arrangement, musical arrangement, dramatization, cinematographic adaptation, synchronization of a musical composition, performance or phonogram in timed-relation with a moving image (synching), or any other transformations of the Work, including in any form recognizably derived from the original, excepting that work that constitutes a Compilation, which will not be considered a Derivative Work for the purposes of this License. 5. Replacing the term “Adaptation” by the term “Obra Derivada” (“Derivative Work”) and clarifying the definition of the later

Considering that: (i) Under the CDADC, a work can be classified as “Obra Original” (“Original Work”) or as “Obra equiparada a original” (“Work compared to an Original Work”) (cf. art. 2.º and 3.º CDADC);

(ii) The term “Derivative Work” is used to name those works defined in art. 3.º(1)(a) CDADC, i.e., any kind of transformations (including adaptations) of the pre-existing work (cf. art. 68.º(2)(g) CDADC) [cf. Luiz Francisco Rebello, Código do Direito de Autor e dos Direitos Conexos Anotado 38 (3.ª Ed., Âncora 2002)];

(iii) To transform means to create a new and original work based upon the pre-existing work (which remains exactly the same) [cf. Ascensão, op. cit. 253]; a “Derivative Work” is the result of such transformation [cf. Trabuco, op. cit. 226-227];

(iv) To modify or alter means to create a new version of the pre-existing work itself (cf. Ascensão, cit. 253); the CDADC uses the terms “alteration”/“modification” when referring to the moral right of integrity (cf. articles 56.º(1), 59.º, 15.º(2) and 50.º(2) CDADC);

(v) An alteration/modification of a work always imply the exercise of the moral right of integrity while a transformation of a work only implies the exercise of an economic right [cf. also Ascensão, op. cit. 254];

(vi) A derivative work will not likely qualify as an alteration of the original work, but as a transformation of the original work and, thus, cannot be prejudicial to the Author’s reputation or honour;

(vii) The moral right of integrity can be expressly retained in the Legal Code without blocking the exercise of the derivative works right;

(viii) The CDADC, following art. 2(3) Berne Convention, states that the protection conferred to the derivative works is made without prejudice to the copyright of the original work. However, it does not say anything about the exploitation of the work, like for instance the German Copyright Act, which states that the exploitation of the derivative work depends on the authorization of the author of the pre-existing work (Section 23);

(ix) According to Ascensão, the author of the derivative work is the only holder of rights in relation to such work. The author of the pre-existing work only needs to grant him the right to transform the pre-existing work to create a Derivate Work, since any further exploitations of the derivative work itself are implicitly granted in the right to transform. The only exception to this are those exploitations of the derivative work that would limit the exploitation of the pre-existing work itself. In such cases, the holder of the derivative work still needs the authorization of the holder of rights on the pre-existing work.

(x) Despite following Ascensão position on this, I consider that, to be on the safe side, we should maintain the explicit grant of the exploitation rights in respect to the Derivative Work by the author of the pre-existing work, and not only the grant of the right to transform the pre-existing work.

The following substantive legal changes have been made: A. Definitions: (a) the term “Adaptation” is replaced by the term “Obra Derivada” (“Derivative Work”), and (b) the term “other alterations” is replaced by the term “outras transformações” (“other transformations”).


j. “Utilizador” significa a pessoa singular ou colectiva que exerça direitos sob esta Licença, que não tenha previamente violado os termos desta Licença em relação ao Trabalho, ou que tenha recebido permissão expressa do Licenciante para exercer direitos sob esta Licença apesar de uma violação prévia. j. “User” means the natural person or legal entity exercising rights under this License who has not previously violated the terms of this License with respect to the Work, or who has received express permission from the Licensor to exercise rights under this License despite a previous violation. 2. Limitações e excepções ao direito de autor e/ou direitos conexos e outras utilizações livres. Nada nesta licença deve ser interpretado de modo a reduzir, limitar ou restringir qualquer uso permitido de trabalhos protegidos por direito de autor ou por direitos conexos ou quaisquer direitos decorrentes de limitações e excepções estabelecidas em conexão com a protecção de direito de autor ou de direitos conexos, nos termos da Legislação Aplicável. 2. Limitation of rights. Nothing in this License is intended to reduce, limit or restrict any permitted use of works protected by author’s right or neighbouring rights, or any other rights provided for by the limitations and exceptions to the author’s right protection or neighbouring rights protection, under the Applicable Law. 3. Concessão da Licença. O Licenciante concede ao Utilizador uma licença de âmbito mundial, gratuita, não exclusiva, pelo período de duração do direito de autor ou direito conexo aplicável, sujeita aos termos e condições da presente LPCC, para o exercício dos seguintes direitos de exploração:

a. Reproduzir o Trabalho, incorporar o Trabalho numa ou mais Compilações, Reproduzir o Trabalho quando incorporado em Compilações;

b. Transformar o Trabalho para criar Trabalhos Derivados e Reproduzir esses Trabalhos Derivados, sob condição de adoptar medidas razoáveis para claramente identificar, no Trabalho Derivado, a transformação efectuada (numa tradução, por exemplo, pode assinalar que “A obra original foi traduzida do Inglês para o Português”).

c. Distribuir e Apresentar ao Público o Trabalho, incluindo quando incorporado em Compilações;

d. Distribuir e Apresentar ao Público Trabalhos Derivados.

3. License Grant. Subject to the terms and conditions of this CCPL, Licensor hereby grants to the User a worldwide, free, non-exclusive, for the term of protection of the applicable author’s right or neighbouring right license to exercise the following exploitation rights:

a. To Reproduce, to incorporate the Work into one or more Compilations, and to Reproduce the Work as incorporated in Compilations;

b. To transform the Work to create Derivative Works and to Reproduce such Derivative Works, provided that the User takes reasonable steps to clearly identify, in the Derivative Work, that transformation that was made (e.g., in a translation could be marked “The original work was translated from English to Portuguese”);

c. To Distribute and Present to the public the Work, including the Work as incorporated in Compilations; and

d. To Distribute and Present to the public the Derivative Works.

Os direitos acima referidos podem ser exercidos em todos os meios e formatos, tangíveis ou intangíveis, independente de serem conhecidos agora ou concebidos posteriormente. The above rights include the right to make such modifications as are technically necessary to exercise the rights in other media and formats. All rights not expressly granted by Licensor are hereby reserved, including, but not limited to, those set out in Sections 4(f) and 4(g). To the extent that the Licensor holds exclusive rights provided by Chapter III of the Law Decree 122/2000 of July 4, which implemented in the Portuguese legal system the Council Directive 96/9/CE of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, expressly disclaims such exclusive rights. 4. Restrições. A licença concedida na Secção 3 supra está expressamente sujeita e limitada pelas seguintes restrições:

a. O Utilizador apenas pode Distribuir ou Apresentar ao Público o Trabalho sob os termos desta Licença. O Utilizador deve incluir, em cada cópia do Trabalho que Distribuir ou Derivada en sí, esté sujeta a los términos de esta Licencia. Apresentar ao Público, uma cópia desta Licença ou o Identificador Uniformizado de Recursos (URI). O Utilizador não pode propor ou impor quaisquer termos que alterem ou restrinjam os termos desta Licença ou o exercício, por parte do destinatário, dos direitos a ele concedidos sob os termos desta Licença. O Utilizador não pode sub-licenciar o Trabalho. O Utilizador deve manter intactas, em cada cópia do Trabalho que Distribuir ou Apresentar ao Público, todos os avisos que se referem a esta Licença e à exclusão de garantias. a. The User may Distribute or Present to the public the Work only under the terms of this License. The User must include a copy of, or the Uniform Resource Identifier (URI) for, this License with every copy of the Work the User Distributes or Presents to the public. The User may not offer or impose any terms on the Work that restrict the terms of this License or the ability of the recipient of the Work to exercise the rights granted to that recipient under the terms of the License. The User may not sublicense the Work. The User must keep intact all notices that refer to this License and to the disclaimer of warranties with every copy of the Work the User Distributes or Presents to the public. When the User Distributes or Presents to the public the Work, the User may not impose any effective technological measures on the Work that restrict the ability of a recipient of the Work from the User to exercise the rights granted to that recipient under the terms of the License. This Section 4(a) applies to the Work as incorporated in a Compilation, but this does not require the Compilation apart from the Work itself to be made subject to the terms of this License. If the User creates a Compilation or a Derivative Work, upon notice from any Licensor, the User must, to the extent practicable, remove from the Compilation any credit as required by Section 4(d), as requested.

The User must include a copy of, or the URI, for Applicable License with every copy of each Derivative Work the User Distributes or Presents to the public. The User may not offer or impose any terms on the Derivative Work that restrict the terms of the Applicable License or the ability of the recipient of the Derivative Work to exercise the rights granted to that recipient under the terms of the Applicable License. The User must keep intact all notices that refer to the Applicable License and to the disclaimer of warranties with every copy of the Work as included in the Derivative Work the User Distributes or Presents to the public. When the User Distributes or Presents to the public the Derivative Work, the User may not impose any

effective technological measures on the Derivative Work that restrict the ability of a recipient of the Derivative Work from the User to exercise the rights granted to that recipient under the terms of the Applicable License. The User may not exercise any of the rights granted to the User in Section 3 above in any manner that is primarily intended for or directed toward commercial advantage or private monetary compensation. The exchange of the Work for other works protected by author’s right or neighbouring rights by means of digital file-sharing or otherwise shall not be considered to be intended for or directed toward commercial advantage or private monetary compensation, provided there is no payment of any monetary compensation in connection with the exchange of the works protected by author’s right or neighbouring rights. d. Se o Utilizador Distribuir ou Apresentar ao Público o Trabalho ou qualquer Trabalho Derivado ou Compilação, deve – a menos que o Licenciante o tenha notificado em sentido contrário nos termos da Secção 4(a) parte final – manter intactas todos os avisos referentes ao direito de autor ou direito conexo sobre o Trabalho, e exibir, de forma razoável em relação ao meio ou meios por si empregues:

(i) o nome ou o pseudónimo, se fornecidos, do Titular Originário, nos avisos referentes ao direito de autor ou direito conexo sobre Trabalho, nos termos de serviço ou através de outros meios razoáveis; e/ou

(ii) o nome da parte ou partes (por exemplo, um instituto, uma editora, uma revista) que o Titular Originário e/ou o Licenciante tiverem designado para atribuição (“Partes de Atribuição”), nos avisos referentes ao direito de autor ou direito conexo sobre o Trabalho, nos termos de serviço ou através de outros meios razoáveis; e

(iii) o título do Trabalho, se fornecido; e

(iv) o Identificador Uniformizado de Recursos (URI) que o Licenciante tenha especificado para estar associado ao Trabalho, se o houver, excepto se o URI não disser respeito ao aviso referente ao direito de autor ou direito conexo sobre o Trabalho ou à informação sobre o regime de licenciamento da Trabalho; e

(v) no caso de Trabalho Derivado, em conformidade com a Secção 3(b), um crédito identificando a transformação do Trabalho num Trabalho Derivado (por exemplo: "Tradução Portuguesa da Obra original do Autor” ou "Guião baseado na Obra original do Autor"). Os créditos exigidos por esta Secção 4(d) podem ser implementados de qualquer forma, desde que razoável. No caso de um Trabalho Derivado ou Compilação, exibindo-se os créditos de todos os autores participantes do Trabalho Derivado ou Compilação, os créditos ora exigidos devem fazer parte daqueles e devem aparecer de modo pelo menos tão proeminente quanto os créditos dados aos demais autores participantes. De modo a evitar dúvidas, o Utilizador apenas poderá fazer uso dos créditos exigidos por esta Secção 4(d) para o propósito de atribuição na forma estabelecida acima. Ao exercer os seus direitos sob esta Licença, o Utilizador não poderá implícita ou explicitamente afirmar ou sugerir qualquer vínculo, patrocínio ou apoio do Titular Originário, Licenciante e/ou Partes de Atribuição a si ou ao seu uso do Trabalho, a menos que tenha obtido prévia e expressamente autorização daqueles.

d. If the User Distributes or Presents to the public the Work or any Derivative Works or Compilations, the User must, unless a request has been made pursuant to Section 4(a), keep intact all author’s right or neighbouring rights notices for the Work and provide, reasonable to the medium or means the User are utilizing:

(i) The name or pseudonym, if supplied, of the Original Rightholder of the Work, in Licensor's author’s right notices or neighbouring rights notices for the Work, terms of service or by other reasonable means; and/or

(ii) The names of the party or parties (e.g., a sponsor institute, publishing entity, journal) designated by the Original Rightholder and/or Licensor for attribution ("Attribution Parties") in Licensor's author’s right or neighbouring rights notices for the Work, terms of service or by other reasonable means; and

(iii) The title of the Work, if supplied; and

(iv) URI, if any, that Licensor specifies to be associated with the Work, unless such URI does not refer to author’s right or neighbouring rights notices for the Work or licensing information for the Work.

(v) In the case of a Derivative Work, consistent with Section 3(b), a credit identifying the transformation of the Work in the Derivative Work (e.g. "The Portuguese translation of the work of the Author" or "Script based on original work of the Author").

The credit required by this Section 4(d) may be implemented in any reasonable manner; provided, however, that in the case of a Derivative Work or Compilation, at a minimum such credit will appear, if a credit for all contributing authors of the Derivative Work or Compilation appears, then as part of these credits and in a manner at least as prominent as the credits for the other contributing authors. For the avoidance of doubt, the User may only use the credit required by this Section 4(d) for the purpose of attribution in the manner set out above and, by exercising the User rights under this License, the User may not implicitly or explicitly assert or imply any connection with, sponsorship or endorsement by the Original Rightholder, Licensor and/or Attribution Parties, as appropriate, of the User or the User use of the Work, without the separate, express prior written permission of the Original Rightholder, Licensor and/or Attribution Parties.

Para evitar qualquer dúvida, deve esclarecer-se que as restrições acima mencionadas [4(a), 4(b), 4(c) e 4(d)] não se aplicam àquelas partes do Trabalho que apenas sejam protegidas pelo direito especial do fabricante de base de dados previsto no art. 12.º do Decreto-Lei n.º 122/2000 de 4 de Julho, que implementou para a ordem jurídica portuguesa a Directiva n.º 96/9/CE do Parlamento Europeu e do Conselho, de 11 de Março, relativa à protecção jurídica de bases de dados. e. To avoid any doubt, it should be noted that the above restrictions [paragraphs 4(a), 4(b), 4(c) and 4(d)] do not apply to those portions of the Work that may only be protected by the special right of the maker of a database under art. 12.º of the Law Decree 122/2000 of July 4, which implemented in the Portuguese legal system the Council Directive 96/9/CE of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, the Licensor will waive this right. f. Para evitar qualquer dúvida, deve esclarecer-se o seguinte:

(i) Direitos sujeitos a representação institucional obrigatória: O Licenciante reserva-se ao direito de recolher as compensações monetárias e/ou remunerações referentes a qualquer exercício pelo Utilizador dos direitos concedidos sob esta Licença que estejam sujeitos a representação institucional obrigatória ao abrigo da Legislação Aplicável (por exemplo, reprodução ou gravação de um Trabalho, colocação de uma fixação de uma performance de um artista à disposição do público).

(ii) Direitos sujeitos a representação voluntária: O Licenciante reserva-se ao direito de recolher, quer individualmente quer – na hipótese de o Licenciante ser membro de uma sociedade de gestão colectiva de direitos (por exemplo, SPA, GDA, DAP, AUDIOGEST, GEDIPE, Gesdireitos) – por intermédio dessa sociedade, as compensações monetárias e/ou remunerações referentes a qualquer exercício pelo Utilizador dos direitos concedidos sob esta Licença que estejam sujeitos a representação voluntária, desde que esse exercício seja para um propósito ou uso outro que não comercial, em consonância com a Secção 4(c).

f. To avoid any doubt, the following should be noted:

(i) Rights subject to Mandatory Institutional Representation: The Licensor reserves the exclusive right to collect any monetary compensations and/or remunerations for any exercise by the User of the rights granted under this License which are subject to mandatory institutional representation under the Applicable Law (e.g. reproduction or recording of works, make available to the public the fixation of a performance of an artist).

(ii) Rights subject to Voluntary Representation: The Licensor reserves the right to collect, whether individually or – in the event that the Licensor is a member of a collecting society that administers voluntary licensing schemes (e.g. SPA, GDA, DAP, AUDIOGEST, GEDIPE, Gesdireitos) – via that society, the monetary compensations and/or remunerations from any exercise by the User of the rights granted under this License which are subject to voluntary representation, provided that is for a purpose or use which is otherwise than noncommercial as permitted under Section 4(c).

7. Implementing the new collective royalty collection clauses

Considering that: (i) The remuneration and compensation rights subject to mandatory institutional representation (through a collecting society or another legal entity) cannot be waived,

The following substantive legal changes have been made:

A. Restrictions the non-waivable compulsory license scheme clause and the voluntary license schemes clause are implemented, with adaptations.

5. Representation, Warranties and Disclaimer

UNLESS OTHERWISE MUTUALLY AGREED TO BY THE PARTIES IN WRITING AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR OFFERS THE WORK AS IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE WORK, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR THE ABSENCE OF LATENT OR OTHER DEFECTS, ACCURACY, OR THE PRESENCE OR ABSENCE OF ERRORS, WHETHER OR NOT DISCOVERABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS EXCLUSION MAY NOT APPLY TO THE USER.

6. Limitação de Responsabilidade.

6. Limitation on Liability.

EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR BE LIABLE TO THE USER ON ANY LEGAL THEORY FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE WORK, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Cessação

a. A presente Licença e os direitos concedidos pela mesma cessarão automaticamente em caso de qualquer violação dos termos desta Licença pelo Utilizador. Os indivíduos ou entidades que tenham recebido do Utilizador Trabalhos Derivados ou Compilações sob esta Licença, não terão, no entanto, as suas licenças cessadas, se permanecerem em total cumprimento com os termos dessas licenças, sem prejuízo do exercício. As Secções 1, 2, 5, 6, 7 e 8 subsistirão a qualquer cessação desta Licença.

b. Sujeita aos termos e condições acima expostos, a presente Licença é válida pelo período de duração do direito de autor ou do direito conexo aplicável ao Trabalho previsto na Legislação Aplicável. Sem prejuízo do disposto na frase anterior, o Licenciante reserva- se o direito de divulgar ou publicar o Trabalho sob termos e condições de licenciamento diferentes dos da presente Licença, ou de deixar, a qualquer momento, de Distribuir o Trabalho; desde que, no entanto, quaisquer dessas acções não sirvam como meio de fazer cessar esta Licença (ou qualquer outra licença que tenha sido ou que deva ser concedida sob os termos desta Licença), a qual continuará plenamente válida e eficaz, a não ser que seja terminada de acordo com o acima disposto.

7. Termination

a. This License and the rights granted hereunder will terminate automatically upon any breach by the User of the terms of this License. Individuals or entities who have received Compilations or Derivative Works from the User under this license, however, will not have their licenses terminated provided such individuals or entities remain in full compliance with those licenses. Sections 1, 2, 5, 6, 7 and 8 will survive any termination of this license.

b. Subject to the above terms and conditions, the license granted hereunder is valid for the duration of the author’s right or neighbouring right applicable to the Work under the Applicable Law. Notwithstanding the last sentence, Licensor reserves the right to release the Work under different license terms or to stop distributing the Work at any time; provided, however, that any such election will not serve to withdraw this License (or any other license that has been granted, or is required to be, granted under the terms of this License), and this License will continue in full force and effect unless terminated as stated above.

c. To avoid any doubt, it should be noted that nothing in the above Sections 7(a) e 7(b) may affect the moral right of withdrawal provided to the Author under the Applicable Law; nonetheless, such right may only be exercised under the terms and conditions of such law.

8. Outras Disposições

b. Cada vez que o Utilizador distribua ou apresente ao público um Trabalho Derivado, o Licenciante concederá ao destinatário uma licença de utilização da Trabalho objecto desta Licença com os mesmos termos e condições que foram concedidos ao Utilizador sob a presente Licença.

c. Caso alguma disposição desta Licença seja tida como inválida ou não executória ao abrigo da Legislação Aplicável, tal não afectará a validade ou a possibilidade de execução dos restantes termos desta Licença e, sem necessidade de qualquer acção adicional das partes deste acordo, tal disposição será alterada na medida necessária para que se torne válida e executável.

d. Nenhum termo ou disposição desta Licença será considerado renunciado e nenhuma violação será considerada consentida, a não ser que tal renúncia ou consentimento seja feito por escrito e assinado pela parte que seja afectada por tal renúncia ou consentimento.

e. Esta Licença representa o acordo integral entre as partes relativamente ao Trabalho objecto desta Licença. Não existem entendimentos, acordos ou declarações relativos à Trabalho que não estejam aqui especificados. O Licenciante não será obrigado por nenhuma disposição adicional que possa resultar de qualquer comunicação proveniente do Utilizador. Esta Licença não pode ser modificada sem o mútuo acordo, por escrito, entre o Licenciante e o Utilizador.

8. Miscellany

a. Each time the User Distributes or Presents to the public the Work, or a Compilation, the Licensor offers to the recipient a license to the Work on the same terms and conditions as the license granted to the User under this License.

b. Each time the User Distributes or Presents to the public a Derivative Work, Licensor offers to the recipient a license to the Work on the same terms and conditions as the license granted to the User under this License.

c. If any provision of this License is invalid or unenforceable under the Applicable Law, it shall not affect the validity or enforceability of the remainder of the terms of this License, and without further action by the parties to this agreement, such provision shall be reformed to the minimum extent necessary to make such provision valid and enforceable.

d. No term or provision of this License shall be deemed waived and no breach consented to unless such waiver or consent shall be in writing and signed by the party to be charged with such waiver or consent.

e. This License constitutes the entire agreement between the parties with respect to the Work licensed here. There are no understandings, agreements or representations with respect to the Work not specified here. Licensor shall not be bound by any additional provisions that may appear in any communication from the User. This License may not be modified without the mutual written agreement of the Licensor and the User.
